Announcement PDF Company Announcement IMAGION BIOSYSTEMS LIMITED ASX: IBX 29 September 2025 Settlement of Tranche Two of Placement & Cleansing Notice Imagion Biosystems (ASX: IBX) (Company or Imagion), a company dedicated to improving healthcare outcomes through the early detection of cancer utilising its proprietary MagSense® imaging technology, is pleased to announce it has completed settlement of Tranche 2 ($2.85m) of the $3.5M Placement announced 4 August 2025, following shareholder approval. Settlement of Tranche 2 Placement Funds - Issue of Shares and Listed Options On 4 August 2025, the Company announced that it had received firm commitments to raise $3.5m for new working capital (before costs) through a two tranche Placement, through the issue of fully paid ordinary shares in the capital of the Company (New Shares), together with free attaching listed options (New Listed Options) to sophisticated professional investors (Placement). The Placement was led by CPS Capital Group Pty Ltd (Broker and Lead Manager) (CPS Capital). Sophisticated investors in the Placement applied for New Shares at an issue price of $0.015 per New Share. For each New Share, investors also received one free attaching New Listed Option. The New Listed Options have the same terms as the Company’s existing listed options (IBXO), exercisable at $0.04 each, with an expiry of 13 December 2027. On 11 August 2025, the Company announced settlement of Tranche 1 of the Placement, receiving $0.675m and issuing 45.0 million New Shares. This was ratified at the recent General Meeting of shareholders. Also at the General Meeting held on 24 September 2025, shareholders approved Tranche 2 of the Placement for the issue of 188,333,333 New Shares to eligible investors, and the issue of the New Listed Options to investors who participated in both tranches of the Placement, a total of 233,333,334 New Listed Options. IBX’s Executive Chair, Mr Robert Proulx and Non-executive Director, Mr Brett Mitchell, obtained shareholder approval for their participation in the Placement. Mr Proulx received approval to apply for 1,666,667 New Shares and the equivalent number of New Listed Options, whilst Mr Mitchell obtained approval to apply for 6,666,667 New Shares and the equivalent number of New Listed Options. The Company received $2.85m in cleared funds to its bank from Tranche 2 investors on 26 September 2025 and settled the New Shares and New Listed Options to investors on the same day. The Company expects to commence its HER2 Breast Cancer Phase 2 clinical trial in the near term with key objectives being:  The submission of an Investigational New Drug (IND) application with the Food and Drug Administration (FDA);  The completion of drug manufacturing to support the clinical trial;  Filing of new Intellectual Property (IP) applications related to molecular MRI;  The initiation of the clinical trial and completion of the first patient cohort; and  Collaborations with leading MRI experts to develop a quantitative MRI platform and AIbased modelling optimized for the MagSense® imaging technology. Appendix 2A Two appendix 2A’s will follow this release, one setting out the issue of Tranche 2 New Shares, and the issue of New Listed Options for the Placement, and one for 3,666,667 ordinary shares issued to Pitt Street Research in lieu of fees as approved by shareholders at the General Meeting on 24 September 2025.
